1. Services We Provide
We are an audio/visual and media agency providing creative services including, but not limited to: video editing, filming, post-production, content creation, graphic/media design, marketing creative, and related production services (“Services”).
Project scope, timelines, deliverables, pricing, revisions, and usage rights may be further detailed in a separate proposal, invoice, service agreement, or statement of work (“SOW”). If there is a conflict between these Terms and an SOW, the SOW controls for that specific project.
2. Digital Products (No Refund Policy)
We sell digital products including downloadable files, digital toolkits, templates, video trainings, courses, and other digital content (“Digital Products”).
All sales of Digital Products are final. Due to the nature of digital delivery and immediate access, no refunds, returns, or exchanges will be provided once a Digital Product is purchased.
If you experience a technical issue accessing your Digital Product, contact us at [email protected] and we will make reasonable efforts to provide access or resolve delivery issues.
3. Payments, Billing, and Authorization
By purchasing, you authorize us and our third-party payment processor(s), including Stripe, to charge your provided payment method for the total amount shown at checkout or on your invoice, including any applicable taxes and fees.
If you purchase under a payment plan, you authorize recurring charges according to the schedule disclosed at checkout and/or in your invoice/plan terms.
4. Late Payments and Non-Payment
If payment is late, we may (at our discretion):
Pause Services and/or withhold deliverables until the account is brought current
Limit access to Digital Products, portals, or project files
Charge late fees or interest where permitted by law and disclosed on your invoice/plan terms
Refer unpaid balances for collection where permitted
You are responsible for any bank/processor fees for failed payments, chargebacks, reversals, or returned payments.
5. Tradeline Eligibility and Credit Reporting (Dun & Bradstreet)
Some customers may qualify to pay for certain Digital Products or programs through a business tradeline or reporting account structure (“Tradeline Arrangement”), subject to our eligibility criteria and verification.
Ethical Credit Reporting Philosophy
We maintain an ethical credit philosophy and commit to accurate, factual reporting. Under a Tradeline Arrangement, all payment activity may be reported accurately, including: On-time payments, Late payments, Missed payments, Delinquencies, Chargebacks, reversals, or unresolved disputes.
No Guarantee of Credit Outcomes
We do not guarantee: How Dun & Bradstreet (or any credit bureau) will interpret, score, or display your payment history; Any specific business credit score, rating, or funding result; Approval for credit, loans, or vendor accounts.
Reporting Timeline
You acknowledge and agree that payments may take up to 45 days to reflect on your business credit file/report after payment activity occurs. Timing may vary due to bureau processing timelines, matching, file verification, and other factors.
6. Project Delivery, Revisions, and Client Responsibilities (Services)
For Services, you agree to:
Provide necessary materials (logos, footage, brand guidelines, access, approvals) in a timely manner
Respond to requests for feedback and approvals within reasonable timeframes
Confirm accuracy of names, claims, captions, and details in final deliverables
Unless otherwise stated in your SOW, revisions are limited. Additional revisions, scope changes, or rush work may incur additional charges. Delays caused by late client responses, late asset delivery, or changes in scope may extend timelines and/or increase fees.
7. Intellectual Property and Usage Rights
Our Materials: Unless your SOW states otherwise, we retain ownership of our pre-existing tools, templates, workflows, project files, and behind-the-scenes/source materials.
Client Deliverables: Upon full payment, you receive a license to use the final deliverables for your business purposes as outlined in your SOW. Raw/source files (project files) are not included unless explicitly stated and paid for.
Client Materials: You represent that you own or have legal permission to provide any content you give us (music, images, footage, logos, scripts, trademarks). You are responsible for securing any necessary permissions, releases, and licenses unless you hire us to do so in writing.
8. Chargebacks and Payment Disputes
Initiating a chargeback or payment dispute without first contacting us to resolve the issue may result in:
Immediate suspension of access to Digital Products and/or Services
Termination of ongoing work
Reporting of unpaid or disputed amounts as applicable under a Tradeline Arrangement
Collections action where permitted
9. Disclaimer of Warranties
This Site, Services, and Digital Products are provided “as is” and “as available.” We make no warranties that: The Site will be uninterrupted or error-free; Any Digital Product will produce specific financial, marketing, credit, or business outcomes; Any credit bureau will report or score information in a particular way.
10. Limitation of Liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, business interruption, reputational harm, or loss of data. Our total liability for any claim related to a purchase will not exceed the amount you paid to us for the product or service giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless the Company from claims, damages, liabilities, costs, and expenses arising from: Your use of the Site, Services, or Digital Products; Your violation of these Terms; Any content you provide that infringes another party’s rights; Your advertising claims, business practices, or compliance obligations.
12. Termination
We may suspend or terminate access to the Site, Digital Products, or Services if you: Violate these Terms; Fail to pay as agreed; Engage in abusive, fraudulent, or illegal behavior. Termination does not eliminate your obligation to pay any outstanding balances.
13. Privacy
Your use of the Site is also subject to our Privacy Policy located at: Privacy Policy.
14. Governing Law & Venue
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising under these Terms will be brought in the state or federal courts located in Riverside County, California, unless otherwise required by law.
15. Updates to These Terms
We may update these Terms at any time. The “Last Updated” date will reflect changes. Continued use of the Site or purchases after updates constitutes acceptance.
